Because a director must always act in the best interests of the company, not for personal gain. If conflicts of interest are not avoided, it can lead to corruption, unfair decisions, and loss of trust from shareholders, employees, and business partners. By keeping their decisions impartial and transparent, directors protect both the company’s reputation and its long-term success.

Out of the seven legal duties, the one I find most important is the duty to promote the success of the company (s.172). This duty is not only about making profit in the present but also about thinking ahead and protecting the company’s future. It asks directors to consider people connected to the business, such as employees, customers, and suppliers, as well as the wider community and the environment

What makes this duty stand out is that it naturally links with the others. A director who genuinely works for the company’s success will be careful, avoid conflicts of interest, and stay independent in their decisions. They are also less likely to take personal benefits that could damage the firm’s reputation

For these reasons, promoting the success of the company is the clearest and most practical duty, since it guides responsible actions and long-term growth

I believe the most important duty for a director is to promote the success of the company (s.172). This duty is central because the director’s main role is to ensure the company grows and sustains in the long term. It requires them to balance profit with responsibility, taking into account the interests of employees, customers, suppliers, the community, and the environment. If a director fulfills this duty well, it will also help them naturally follow other duties such as acting with care, avoiding conflicts of interest, and maintaining independent judgment.

In my opinion, the most important duty of a director is to avoid conflicts of interest. A director should always put the company’s interests above their own personal benefits. If directors make decisions based on personal gain, it could damage the company’s reputation, reduce trust from employees and shareholders, and even lead to financial loss. For example, if a director accepts a contract from a supplier only because they receive gifts or money, this decision may not be the best option for the company. As a result, the company could pay more for lower-quality services. Avoiding conflicts of interest also creates fairness and transparency in business, which are essential for long-term success. I believe that when directors stay objective and independent, they can guide the company in the right direction and build sustainable trust with all stakeholders.

In my group's opinion, the the most important duty for director is do not accept benefit from third party (bribes). This is the most critical duty because it directly relates to a director's honesty and integrity.

Refusing bribes ensures all decisions are made in the best interest of the company, not influenced by personal gain.

Accepting a bribe can severely damage a company's reputation and lead to a loss of trust from customers and partners.

Bribery is an illegal act that can lead to severe consequences for both the director and the company, including fines and imprisonment.

In short, this duty is the foundation of trust and responsibility, and is essential for effectively carrying out all other duties.

We believe the most important duty of a director is to act within the company’s constitution and use powers properly. This duty is the foundation for all the others, because if directors do not respect the company’s legal framework, their decisions may become invalid or even harmful. By following the constitution, we make sure that authority is not misused and that every action is consistent with the company’s objectives. It also fosters transparency and accountability, which are crucial for maintaining the trust of shareholders, employees, and other stakeholders. In short, we firmly believe this duty is most important because it establishes clear boundaries for directors and ensures the company’s long-term stability.

Among the seven duties of directors, the most important is to promote the success of the company. This duty goes beyond financial gain and requires directors to consider long-term effects, employees, customers, suppliers, the community, and the environment. A company’s survival and growth depend on its ability to create sustainable value, not just short-term profits. For example, if directors focus only on immediate financial returns but ignore employee welfare or environmental responsibilities, the company may face reputational damage, legal issues, or even collapse in the future. By prioritizing overall success, directors ensure that all stakeholders benefit, which in turn strengthens trust and loyalty. Other duties, such as avoiding conflicts of interest or exercising reasonable care, support this broader goal, but they are secondary. Ultimately, promoting the success of the company is the foundation that integrates all the other duties into meaningful, responsible corporate leadership.

Out of the legal duties imposed on directors, we argue the duty to promote the success of the company (s.172) can be regarded as the most crucial. First and foremost, this duty requires directors to look beyond short-term financial gain and to ensure the company's long-term stability and prosperity. It obliges them to take into account the interests of important groups such as employees who support daily operations, customers who bring income, and suppliers who keep the business running smoothly. At the same time, directors must also consider the effects of their decisions on the wider community and the environment, since these factors shape the company's public image and future opportunities. Moreover, this duty complements other obligations, as directors who prioritize the company's long-term goals are less likely to engage in conflicts of interest or act for personal advantage. Therefore, promoting success serves as the key principle that guides directors toward sustainable and responsible decision-making.

If I had to choose the most important of the seven duties of a company director, I would choose: "Promoting the success of the company (Article 172)"

If the main goal is to promote the success of the company, the director will have to comply with the company's constitution, make careful decisions, avoid conflicts of interest and act ethically. This is the "compass" to balance the long-term interests of shareholders, employees, customers, suppliers, the community and the environment.

Look at the long-term vision. Article 172 requires the director to consider the long-term impact, not just the short-term benefits. This helps the company develop sustainably, not making hasty decisions just for immediate profits.

Wide social impact: Directors must not only manage for shareholders but also consider the impact on society and the environment. This is especially important now when businesses need to maintain a good image and be socially responsible.

Maintaining trust and reputation for the company: A director who puts the company's sustainable success first will help the company maintain the trust of employees, customers, and investors - a key factor for long-term survival. The task of "promoting the company's success" is the most important because it encompasses and guides all other tasks. A director who wants to perform this task well will ensure the company's sustainable development and long-term reputation.

I think the most important duty of a director is the duty to promote the success of the company under section 172. This is because it reflects the director’s main responsibility: to act for the benefit of the company as a whole and consider not only short-term profits but also long-term effects, employees, customers, and even the environment. Without this duty, other duties like avoiding conflicts of interest or exercising care would lose their real meaning, since the ultimate goal is to make the company successful in a sustainable way.
