Heads of Agreement:

1. Both parties go together to Hawai to meet nut producers

2. When back, both parties setup a plan together to test if both molecules, Saponin and phosphorous-oil, can be extracted

3. If possible, NussTech will become buyer (to get Saponin) and will sell waste stream to iGoz, while giving price transparency to iGoz

iGoz (Max Verhofstede)

Since nobody wanted to share trade secrets, we were only able to figure out that both parties are going to Hawaii to secure an important resource. Both expect that the other party is interested in the same resource.

Unfortunally, no real negotiations took place since we didn't share enough information.

IGoz (Peter Verdijck)

during discussion Nusstech and IGoz shared some info about their new products and the material they need. They need the same nuts for their production from Hawai. Both has planned a trip to discuss this with the local farmer of the nuts. Nusstech and Igoz use a different component from the nut and they agree to check with their engineers if the components can be separated. Igoz will first extract their product and will send the waste to Nusstech to extract their component. They agree to take contact again before they visit the local farmer in Hawai.

Bram Mennes (NussTech)

Nusstech needs the Saponin component, iGoz needs the Phorbol component. They will jointly buy the white nuts at a low price and each extract their component.

William Jacobs (iGoz)

The iGoz CEO knows that NussTech is interested in the white Kukui nuts, and wants to understand why. While talking about the use of the nuts, it becomes clear that NussTech only needs 1 substance. Both CEOs realize it would be better to cooperate, and share which substance each of them needs. Since they both need a different substance, NussTech proposes to buy the white Kukui nuts together. The conditions should be clearly defined:

-          Who gets which part

-          Who extracts the different substances (third independent party?)

-          Audits / quality checks

After the holidays and internal research, both parties will align further.

Margot (iGoz)

NussTech easily revealed research and what is needed to create their product. This helped the negotiation - clear that we both need different components of the nut. As a result, we decided to visit Hawaii together and bundle forces to negotiate with the farmer. Steps to be taken in terms of logistics, payments are to be discussed after our visit to Hawaii.

iGoz: Mathias

After cooperative talks, we quickly found out both parties need the nuts. After finding out common interest, we gradually shared more specific information. This way we found out we need different components of the products and agreed upon working more closely together to secure the full harvest.

We also agreed on returning to the negotiation table after both providing expert reports on dual extractions and a preliminary investigation into logistical flows.

We signed this AI generated picture (in attachment) as a symbol for the new way of cooperation in between our companies.

iGoz: Thomas

Agreement reached:

• Joint venture to extract both chemical compounds from nuts --> both parties reach full volumes yearly & corporate knowledge (IP) stays internal

• 1m product launch delay to investigate small batch extraction not to waste any volume

• Potential future collaboration on research towards synthetic production phorbol (based on +3y plan, if relevant) to free up extra volumes for NussTech

• Price negotiations based on shared volumes with supplier, no need to 'outbid' other party

IGoz (Helen)

We hadden een open discussie over onze needs en zijn tot de volgende akkoorden gekomen:

*gedeelde oogst voor 3 jaar (50-50), Hierdoor kan er bespaard worden op budget. Dit kan dan naar de research gaan voor syntetisch alternatief of onderstaand onderzoek.

*onderzoeken of we beide onze extracten uit dezelfde noot kunnen halen Nusstech --> Saponin iGoz --> Phorbol

*Nusstech kan aandelen kopen in iGoz

* beide leggen privé plantages aan

After initial discussions, it became clear that both parties needed the nuts, but for different components. Therefore, we negotiated plan A and plan B:

A: Buy the nuts together and with combined efforts from both R&D depts, we try to extract both components.

B: If the extraction fails,

  • iGoz pays $2.2M to NuzzTech
