• Both companies will negotiate together with the farming corporation representative.

• Both budgets will allow us to have to:

  • (2) plant new trees (secure future supply after 3 years) & reserve capacity

  • (3) invest in a synthetic variant (R&D joint collaboration for the 2 raw materials)

• Common goal to help infants, children, young adolescents

1: iGoz will purchase the white kukui nuts

2: iGoz will ship complete nuts to NussTech

3:Nusstech will extract Saponin from the nut(peel) and press internal nut.

This oil will be shipped to iGoz.

4:Tansport + processing costs will be shared

5: iGoz will negotiate price with farmer, cost will be shared evenly

6: We will maintain a good relation between iGoz-Nusstech stop the patent infringement as we have a different goal.

• 1 van de partijen koopt volledige oogst per jaar (om kosten te drukken).

• Overschot van kukei nut wordt verkocht en opbrengsten worden geinvesteerd in R&D (zie volgend punt)

• Samen investeren in:

  • R&D kukei nut plant: hoe de oogst kan vergroot en verzekerd worden voor de komende jaren

  • R&D naar synthetische kukei nut plant

• Kosten van aankoop, transport, oogst, afscheiding en R&D worden gedeeld 50/50.

• starten van een joined venture om de noten aan te kopen en de twee producten af te scheiden.

• Een gelijk budget wordt in de joined venture gestoken. Elk heeft 1 mil per jaar voorzien hiervoor.

• ownership van de gescheiden producten zijn wel gescheiden. (Saponin voor Nusstech, Phorbol voor iGoz)

• Both companies will negotiate the prices of the Kukui nut with the farmers   

• The nuts will first be shipped to IGoz. They will extract the oil from the nut and then they will be transported to NussTech. 

• IGoz must extract the oil within 1 month and afterwards the nut needs to be shipped to NussTech. If they do not ship it in time, a fine will be charged.

• Transport and import costs will be split 50/50 – including transport from IGoz to NussTech

• Both companies will invest in planting new trees to secure the harvest for the next years. 

• Both companies will invest the same amount in R&D to search for alternatives, however they will do it separately as IGoz needs the oil and NussTech needs the nut itself. If an alternative has been found, info must be shared with the counterpart.

• Both companies will invest 2% of the profit in the community of the Island of Kauai.

IGoz and NussTech agree to start a joint venture

Short term

·         To negotiate together with the growing representative to not outbid the other party

·         Each party gets the component it needs

o   iGoz get the Phorbol

o   Nusstech gets Saponin

·         The costs will be divided equally between the two parties

·         As both parties are both in the pharmaceutical industry but in different sectors, we both agree to not interfere in each other business

Long term

·         Both parties agree to plant more trees to have a stable income of the nuts in the long term

·         Both parties agree to investigate if the waste of the nuts can get used by local communities for their traditions

NussTech zal de noten aankopen in Hawai. Zal saponin extract uit de noot halen en de noten aan de helft van de prijs doorverkopen aan IGoz.
