Do you need or want to watch videos or pictures in your media player? If the answer is yes then buy the Mp4, but if you only want to listen your music, go for the Mp3.

That's the only meaningfully difference.

The mp3 player generally only play audio formats : .mp3, .ogg, .wav, etc. The mp4 player have a screen and play video formats : .mp4,.avi,etc.

The main difference between mp3 & mp4 is the mp4 allows listen music and also see videos and photos . Mp4 also has more capacity of storage. So, if you only want listen music you should buy a mp3 player (which is cheaper than a mp4).
