Deceptive advertising is when a company promotes something in a way that isn’t fully honest. It might exaggerate how good a product is, hide important information, or make something seem like it will work better than it actually does. The goal is to convince people to buy it, even if the message isn’t completely true or is kind of misleading.

The Federal Food, Drug, and Cosmetic Act (FDCA) is a law in the U.S. that makes sure our food, drugs, and cosmetics are safe and properly labeled. It was first passed in 1938, mainly because there were dangerous products out there. The law gives the Food and Drug Administration the power to check and approve new medicines and food items before they hit the stores. This helps protect people from harmful stuff and ensures that what they buy is good for their health. Overall, the FDCA plays a big role in keeping us safe!

Mike Kemp - Perfect Tender Rule

The Perfect Tender Rule basically means the seller has to deliver exactly what was agreed upon, no mistakes. If the goods are off in any way, even slightly, the buyer can reject everything, accept everything, or take what's right and reject the rest. It gives the buyer a lot of control, but there are limits. The seller usually gets a chance to fix the issue if one arises, and courts won't let a buyer reject goods over something minor if they're clearly being unreasonable.

The first thing that can be done is to withhold delivery or void the contract. So refusing to pay or not following the contract the seller/lessor can refuse to delivery the goods or cancel the contract. Another thing that can be done is a resale. The seller can sell the goods to another party. If damages come up the seller will be reimbursed. This is an example so if groceries were $6,000 but were sold for $4,000 then you will receive $2,000 for damages. A third thing that can be done is recover the damages. If the buyer backs out or refuses to accept the goods you can recover damages in the difference between market price and contract price. Another thing that can be done is to recover the full price. If the buyer has the good but hasn't paid you can get the full amount. You can also reclaim the goods if the buyer has them and this was in writing. Typically up to 10 days after the goods are delivered. Another thing to do is stopping the delivery in the process. If the buyer breaches during delivery, the seller can stop the carrier from making the delivery. The final thing you can do is to recover incidental damages which refer to the transportation, storage, and commissions. As well as consequential damages which are damages that resulted from a breach.

Deceptive advertising is when companies knowingly deceive and mislead a reasonable consumer. Advertising claims that cannot be supported by scientific evidence or data are deceptive, such as making claims like “clinical studies show” without any data to back it up. Other guidelines of deceptive advertising are influencers who don’t disclose the products they are promoting as ads, as this is a violation of the Federal Trade Commission.
