It is known that each company has a goal to maximize the shareholder value. Therefore, for those who do not have, the likeliness to stay in the business for a long period of time will be very slim. Most of the accounting frauds that have occured throughout the years is because the management gets nervous about their shareholder value. When management realised that the return is less than expected, they begin to think of ways to increase the shareholder values. Unfortunately for companies that are doing poorly, numbers cant be changed easily. Therefore, there are no ethical ways to increase the shareholder value or maximising it.

Q1.11 International firm goal

The goal will be the same, but the best course of action towards the goal may be different because of differing social, political and economic situations.

The Ladies Group

Agency problems should be less prevalent in countries such as Germany and Japan that have a

much higher level institutional ownership and therefore much fewer shareholders. However, with large group shareholders such as mutual funds and pension plans becoming more prominent in the U.S. markets, agency problems should be reduced. Large groups such as these are able to exert more pressure and control over corporation’s management as they tend to be very large shareholders. They can do this through proxy if necessary . They are better able to exert their ownership then the average investor.

1. Shareholders
2. The process whereby the owners control the firm’s management is when shareholders elect the board of directors of the corporation, who in turn appoint the firm’s management.
3. The main reason for agency relationship is the separation of ownership from control in the corporate form of organisation
4. A problem that may arise is the possibility of contradicting the goal of maximizing the share price

We would expect agency problems to be less severe in other countries, primarily due to the

relatively small percentage of individual ownership. Fewer individual owners should reduce the number of diverse opinions concerning corporate goals. The high percentage of institutional ownership might lead to a higher degree of agreement between owners and managers on decisions concerning risky projects. In addition, institutions may be able to implement more effective monitoring mechanisms than can individual owners, given an institution’ deeper resources and experiences with their own management. The increase in institutional ownership of stock in the United States and the growing activism of these large shareholder groups may lead to a reduction in agency problems for U.S. corporations and a more efficient market for corporate control.
