Backers included 10x Founders, Promus Ventures, Fly Ventures, Speedinvest, and Push Ventures along with corporate investors, such as HHLA Next, DB Schenker via Schenker Ventures and Krone.

Ocean Infinity is a company that focuses on large scale marine robotic operations within the maritime industry. The company's main services include the deployment of robotic technologies to capture ocean data and deliver maritime solutions, with a particular emphasis on minimizing environmental impact. Ocean Infinity primarily serves sectors such as energy, telecommunications, government, defense, and science & research. It was founded in 2017 and is based in Houston, Texas.

Ocean Infinity has sealed its fifth acquisition this year, buying Norwegian technology developer for autonomous port operations Red Rock. According to the Houston-based marine robotics firm, Red Rock is spearheading the development of digital and autonomous solutions to revolutionise lifting and handling both onshore and offshore.

The acquisition will combine Ocean Infinity’s Armada robotic vessels and low emission operations with Red Rock’s ability to develop hardware and software solutions for remote and autonomous handling. “Together, the two businesses will transform port operations and shipping through artificial intelligence-enabled, safe, low emission movement of vessels and cargo,” Ocean Infinity said.

All of Red Rock’s business lines spanning marine, artificial intelligence, software solutions and digital consulting are included as part of the acquisition. Ocean Infinity’s footprint in Europe now extends to offices in Norway and Romania, alongside the existing presence in North America, the Middle East and Africa. The enlarged group will have a full-time headcount of approximately 600 people.

“Kraken is very pleased to have completed this financing with our customer Ocean Infinity,” said Karl Kenny, Kraken’s President and CEO. “The financing strengthens our balance sheet with a patient investor and supportive customer and validates our strategic efforts to build a vertically integrated offering of sensors, software and systems for the underwater robotics market. We will continue to work with Ocean Infinity to help provide its customers an efficient, differentiated service offering, leveraging a variety of products and services developed by Kraken.”

Offering Details

The Offering was comprised of 11,520,000 units (the “Units“) at a purchase price of $0.20 per Unit for aggregate gross proceeds of $2,304,000. Each Unit consisted of one common share and one-half of one common share purchase warrant (each whole common share purchase warrant, a “Warrant“), with each Warrant exercisable to acquire one common share of Kraken at $0.40 for a period of 36 months from the date of issuance, subject to adjustment and acceleration. All proceeds raised from the sale of the Units will be used by Kraken to build inventory and general corporate and working capital purposes.

The securities issued pursuant to the Offering are subject to a four-month statutory hold period commencing from the closing date under applicable Canadian securities laws, in addition to such other restrictions as may apply under applicable securities laws of jurisdictions outside Canada. In addition, Ocean Infinity has agreed to an additional 32 month hold period resulting in a combined 36 month hold period.

The Warrants are subject to an acceleration clause whereby if the closing trading price of the common shares is greater than $0.50 for 20 consecutive trading days after the date that is four months and a day after the closing of the Offering, Kraken may, at its option, elect to accelerate the expiry date of the Warrants to 20 calendar days following the delivery of a written acceleration notice.

(Nov 30): Aerodyne group is set to run its DRONOS software as a service (SaaS) platform on Amazon Web Services to help drone operators worldwide grow their businesses.

DRONOS is an end-to-end drone service platform that allows users to onboard, analyse and make sense of drone data to optimize operations, drive efficiencies and conduct aerial inspections.

Notably, Aerodyne operates drone solutions for telecommunications, agriculture, surveillance, logistics and energy industries in 45 countries.

“DRONOS is a drone operating system. When you fly drones, you need to have expertise [whether] for the pilot or crew to process the data. We want to democratize this. Rather than relying on some experts, we are putting all of this within DRONOS,” said Kamarul A Mohamed, founder and group CEO of Aerodyne.
