         <title>The operation of S.40 and limitations on authority</title>

         <description><![CDATA[<div>Why do we need S.40 to lift restrictions on authority if it was found that someone has apparent/ostensible authority to do something?<br>It seems redundant to find that there is apparent authority, when there was no express authority, and then to apply S.40 to lift limitations on&nbsp; this apparent authority that&nbsp; was not suppose to be there because of limitations on express authority.<br><br><br>Does S.40 applies only for directors acting collectively but failing to be a complete Board (e.g. inquorate)? Or can it apply to individual director(s)?</div>]]></description>
