Moreover, a few of the board directors are legally related and that the CEO is also one of the board of directors. 

Linus is concerned about thie company's reputation because not only  are the companies in the same pharmaceutical industry, they also shared very similar structure of their board of directors, with all of their directors being closely related to the CEO and one another. 

Although Linus has been estranged from the family, how will the public still view such structure? Moreover, not just Linus, but the entire of the board of directors are related to the CEO, so even if Linus did not join, will there still be a big problem?

According to the article, Xantac claimed that the expired ingredients they used were all supplied by ZTC Holdings (Their supplier)

The CEO of ZTC Holdings is also on the board of Xantac, in addition, married to another director of Xantac.

ZTC was alleged in rumours to have provided huge discounts to Xantac to get Xantac to buy the expired ingredients.
 

What we don’t know:
Why the whole board consists of only people who are related? 

Did ZTC do this out of its own financial interest?

Are the stated rumours true as proven in the investigations?

What are some possible effective mechanisms available for Corporate Governance?

Did the director of Xantac whom the CEO of ZTC married to also play apart in the usage of the expired ingredients?


What we want to find out:

How can we use possible effective Corporate Governance mechanisms found from our research and understanding be used to apply into HE’s situation to ensure such an incident like Xantac’s case does not occur in HE to advise Linus?

How can HE use both internal and external monitoring systems to enhance the transparency of financial reporting as a form of mechanism and control and  to reduce misaligned interests within the board of directors? (What are these mechanisms?)

Find out if the rumours are true also to find out the failures in corporate governance that HE can learn from Xantac's case so that HE can learn the effects of having such bad corporate governance practices?
