Strategic report

The strategic report allows management to communicate directly to shareholders to explain their more long term plans in order to reassure both current and potential shareholders that the company is a good investment in the long term. It helps provide key strategic infomation that individuals wouldn't be able to derive from financial statements alone. As well as this it helps contextualise some of the key figures in the financial statements. For example, Hilton Food Group gained a large amount of debt in 2019 and as a result had much worse gearing. On the surface this makes Hilton Appear to be very risky but in the strategic report, it was explained that it was due to them opening a new factory which was doing well in its first year.

As all UK companies are encouraged to comply with FRC guidelines, it means that they are all roughly following the same standards and structure. This means that most corporate reports will be fairly similar in nature. This is a good thing as it allows for comparability of different reports to allow potential shareholders to decide which companies they think are doing the best and would be the best investments.

Corporate reports, especially in recent years have become much longer and contain a lot more information. This is advantageous to stakeholders as it gives them access to a wide range of information that would otherwise be very difficult to access outside of interviews with management and directors, which is unrealistic for the majority of individuals.

Increasing level of corporate governance

In recent years the level of corporate governance has been steadily increasing. This means that there are becoming more guidelines for companies to follow when producing their annual reports. This means that the quality of reports should improve, making them more useful to shareholders. Also, being guidelines rather than strict rules, it gives management choices which guidelines they choose to follow. This gives shareholders an idea of how management operates by assessing which guidelines they choose to follow.

According to the PWC FTSE 300 reporting opportunities, 83% of companies will mention that they target specific stakeholder groups in their business model. This is a good opportunity for companies to explain how different users of their annual account can address different groups and explain what they can do for each of these groups.

The FRC sets out guidelines rather than strict rules. This means that companies can follow certain guidelines that they believe best suit them rather than being forced to follow certain restrictions that may not be appropriate for their sector. For example a construction company and a supermarket will likely have very different business structures so a one size fits all approach wouldn't be very well applied to all companies. By having guidelines firms can choose which guidelines they believe will improve the quality of their reports whilst preventing firms from having to go through inefficient bureaucracy, improving the quality of corporate reports and reducing any unnecessary costs.
