Nên bản chất của hoạt động này chính là tăng vốn điều lệ trên thị trường chứng khoán. Phương thức phát hành của thị trường này là phát hành riêng lẻ và phát hành ra công chúng. Thị trường chứng khoán thứ cấp là thị trường mà tại đó chứng khoán được mua đi bán lại với nhau giữa các nhà đầu tư sau khi đã được phát hành lần đầu ở thị trường chứng khoán sơ cấp. Điều này làm thay đổi quyền sở hữu chứng khoán giữa các nhà đầu tư và do đó vốn điều lệ của tổ chức phát hành hoàn toàn không hề thay đổi gì trong quá trình này. Mục tiêu cao nhất của thị trường này là tạo tính thanh khoản, để khi một nhà đầu tư A cần tiền họ đang sở hữu 1 loại cổ phiếu thì có thể bán ngay lập tức để đổi ra tiền mặt cho một nhà đầu tư B khác đang có tiền nhàn rỗi muốn đầu tư sinh lời loại cổ phiếu đó, chính tính thanh khoản này sẽ giúp cho tổ chức phát hành trên thị trường chứng khoán sơ cấp khi cần vốn cho các dự án kế hoạch kinh doanh của mình có thể tăng vốn điều lệ mở rộng sản xuất kinh doanh.</div><div>
